Michael Miola
Founder
Gemini Founder Michael Miola began serving the investment industry in 1974. He spent five years with
Coopers & Lybrand, now PriceWaterhouse Coopers, where he specialized in the audit of mutual funds and
brokerage firms.
In 1979, Michael formed an accounting firm to provide consulting services to mutual funds and brokerage
firms. The firm designed accounting processes for financial transactions, as well as provided audit
services to mutual funds, hedge funds, and brokerage firms.
American Data Services, Inc (ADS) was founded by Michael in 1983. His goal was to design a mutual fund
accounting system that would operate on PCs, which opened the industry to independent investment advisors
without a large firm's resources behind them. ADS, by 1998, was in the top 20 mutual fund service
organizations in the U.S. servicing over 150 mutual funds with assets in excess of $6 billion.
In 1999, Michael sold ADS and he retired in 2001. Not content to sit on the sidelines, in 2002, he
repurchased ADS, which he renamed Gemini Fund Services, LLC. Michael and his partner, Patrick Clarke,
then formed NorthStar Financial Services Group, LLC (NorthStar), where they serve as Co-Chairmen.
In 2003, Michael capitalized a new institutional broker/dealer, Silver Leaf Partners, LLC, to service
the hedge fund industry. Also in 2003, Michael became Chairman of the AdvisorOne Series Trust, a group
of mutual funds in the NorthStar umbrella with over $1.2 billion in assets.
NorthStar formed two additional subsidiaries in 2004. Aquarius Fund Distributors, LLC is a broker/dealer
that distributes mutual funds as well as provides securities registration and compliance-related
services. Orion Advisor Services, LLC is a company which provides a proprietary mutual fund trading
platform and performs all back-office administrative and operational services to investment advisors.
In 2005, NorthStar formed and capitalized Constellation Trust Company to provide custody services for
all of the assets under the NorthStar umbrella. In 2008, Aquarius Fund Distributors, LLC was
rebranded as Northern Lights Distributors, LLC.
Andrew Rogers
President
As President of Gemini Fund Services, LLC, Andrew Rogers is responsible for business development,
including servicing existing mutual and hedge funds as clients and assisting in the formation of new
funds. He is also President of GemCom, LLC, a Gemini subsidiary that provides EDGAR and printing services.
In addition, Andrew is Manager of Northern Lights Compliance Services, LLC, a sister company to Gemini,
created to provide chief compliance officers on an independent, consultative basis.
Andrew has over 14 years' experience in the mutual fund industry serving in many capacities. Prior to
joining Gemini, Andrew was Vice President, Compliance Officer and Accounting Manager at JP Morgan Chase
and Co. for almost 4 years, where he was responsible for approximately 60 funds, onshore and offshore,
with approximately $40 billion in assets.
Previously, Andrew was employed at Alliance Capital Management Holdings LP as Financial Reporting Manager
for almost 4 years. There, he was responsible for the financial statements of mutual funds and separate
accounts with assets exceeding $30 billion.
In addition to his Gemini responsibilities, Andrew is currently Chief Compliance Officer of three fund
families and President of two fund families. He is also Treasurer and Assistant Officer for numerous
mutual fund families.
On a personal note, Andrew spends most of his free time with his wife and two daughters. Andrew's
interests include basketball, tennis, racquetball and any outdoor activity. Andrew graduated from the
State University of Albany in 1991 with a BS in Accounting and has completed all four parts of the CPA
examination.
Kevin Wolf
Executive Vice President
Kevin Wolf is the Executive Vice President of Gemini Fund Services, LLC ("Gemini"), overseeing Fund
Administration and Gemini's Legal department. Kevin is responsible for providing fund administration
services to the mutual funds serviced by Gemini, with his staff of administrators. He is also responsible
for Gemini's Legal Department, which includes client legal services and regulatory compliance. In addition,
Kevin is Vice President of GemCom, LLC, a Gemini subsidiary that provides EDGAR and printing
services.
Kevin has over 16 years' experience in the mutual fund industry. Prior to joining Gemini seven years
ago, Kevin was an Assistant Vice President in the Financial Reporting Department for Salomon Smith
Barney Asset Management. There, he was responsible for the preparation of shareholder reports for
over 200 mutual funds while supervising a staff of reporting specialists. Kevin's other prior experience
includes work as a mutual fund accountant for both Dean Witter (currently Morgan Stanley) and
Chemical Bank (currently JP Morgan Chase).
In addition to his responsibilities at Gemini, Kevin is also serving as Treasurer for Northern Lights Fund/
Variable Trust and the Boyar Value Fund. He also serves as Assistant Treasurer for other Gemini clients.
Kevin is a Long Island native and lives with his wife and daughters. His hobbies include home improvement
and supporting his favorite sports teams, when not playing sports himself. Kevin is an avid
soccer player, currently playing in a local intramural league, as well as training youth soccer players. He
received a Bachelor of Science in Accounting and Business Administration from the State University of
New York at Albany in 1991.
Anthony Viceconte
Vice President, Accounting
Anthony Viceconte, Vice President of Accounting at Gemini Fund Services, LLC, is responsible for
overseeing accounting operations for Gemini's mutual fund accounting as well as its hedge fund
administration.
Anthony has over 25 years experience in the hedge fund and mutual fund industry. Prior to joining Gemini,
Anthony was a First Vice President in the Fund of Funds and Hedge Fund Accounting departments for Olympia
Capital Associates, L.P., a third party hedge fund administrator. There, he was department head of the
fund of funds trading department responsible for the fund of funds trading for over 80 hedge funds.
Previously at Olympia he was co-department head of the New York hedge fund accounting operations
responsible for the administration of more than 40 hedge funds. Anthony's other prior experience includes
a position as a supervising accountant in the investment accounting department for Equitable Capital
Management Corporation and a senior accountant in the mutual fund finance division for PaineWebber Inc.
Anthony lives with his wife in Levittown, NY. He has one daughter working toward her masters degree in
woman's studies and American history at the University at Buffalo while his younger daughter is working
towards a degree in criminal justice as a freshman at Nassau Community College. In his free time, now and
for most of the past 30 years, Anthony can be found playing the guitar and performing with some of the
top local music groups on Long Island.
Larie Lydick
Chief Operations Officer
Larie Lydick is the Chief Operations Officer for Gemini Fund Services, LLC ("Gemini"). Larie is responsible
for the daily oversight of the day to day functions of the Transfer Agent Accounting and Operations
departments, as well as the Fund Accounting and Technology departments.
Located in Omaha, Nebraska, the Transfer Agent Operations department responsibilities include the
daily shareholder record keeping, transaction processing, call center functions and all associated shareholder
communications. The Transfer Agent Accounting department responsibilities include all money
movements and bank reconciliation for Gemini’s clients and Custody Administration responsibilities
of providing cash forecasting and trade affirmation. Located in both Omaha, Nebraska and Hauppauge,
New York, the Fund Accounting department is responsible for the entire process of mutual fund
pricing and reconciliation as well as hedge fund accounting. Also dually located in Omaha and Hauppauge,
the Technology department is responsible for supporting and programming all technology
needs that the Gemini clients require.
Larie joined Gemini in April of 2001 and has over eleven years of experience in the financial services
industry. Prior to joining Gemini, Larie worked for four years at CLS Investment Firm, LLC, a NorthStar
Financial Services Group, LLC money management company, as a Senior Operations Manager. While
there she oversaw the New Accounts and Accounts Receivable teams.
A Nebraska native, Larie continues to live there with her husband, Jake. Outside of the office, Larie
enjoys traveling, boating, camping and is an avid sports fan. She received a Bachelor of Science in Business
Administration, with an emphasis in Finance, from the University of Nebraska Lincoln.
Emile Molineaux
General Counsel, CCO, and Senior Vice President
Mr. Molineaux oversees Gemini's legal department, client legal services and regulatory compliance. As
CCO, he oversees Gemini's regulatory and legal compliance. Mr. Molineaux also provides legal counsel and
oversight with respect to Gemini's subsidiary businesses, such as Northern Lights Compliance Services,
LLC, GemCom, LLC, and Gemini's hedge fund administration business.
During the five years prior to joining Gemini, Mr. Molineaux served as one of several in-house counsel to
the Dreyfus Family of Funds, where he was responsible for ongoing legal, compliance and regulatory matters
in connection with approximately 20 portfolios, including both open- and closed-end investment companies.
Prior to that, Mr. Molineaux served as an attorney at the law firm of Morrison & Forester, LLP in
Washington, D.C. where he handled issues under the Securities Act of 1933, the Securities Exchange Act of
1934, the Investment Company Act of 1940 and state Blue Sky laws, for certain large fund complex clients.
Emile has lived overseas for several years, is fluent in Spanish and conversant in French. In his spare
time, Emile enjoys spending time with his family, working on his house, traveling, skiing, cycling, dining
out and attending movies, museums and live music venues.
Mr. Molineaux received his J.D. from The Catholic University of America, and is a member of the Bar of
the State of Pennsylvania and the District of Columbia.
